Setting up your limited company properly
More than simply submitting an incorporation form. We'll help you get the company details and structure in place from the start.
Forming a limited company online can be quick, but there are decisions to make about how the company is set up.
Baldwin's Accountancy Services can deal with the incorporation process and help make sure the company is established with the appropriate directors, shareholders, PSC information, addresses and share structure.
What we'll take care of
Agree the company details
We'll work through the proposed name, directors, shareholders, PSC information, registered office and relevant service addresses. Your chosen company name needs to be checked and accepted.
Set the share structure
We'll discuss the intended ownership and appropriate share structure before the company is incorporated.
Prepare and submit
We'll deal with the Companies House incorporation filing and the relevant formation documentation once the required details and identity-verification information are available.
Getting the share structure right
Before incorporation, we'll talk through who will own the company and how that ownership should be reflected in its shares.
For a typical owner-managed company, that means discussing an appropriate share structure rather than automatically forming every company with a single ordinary share.
We'll agree the scope of the formation work with you. Complex share rights or articles are not automatically included.
Directors, shareholders and PSCs
These roles can overlap, but each requires the right information when the company is formed.
Directors
The people responsible for running the company. We'll need their details and the identity-verification information required for incorporation.
Shareholders
The people who own shares in the company. We'll establish who they are and the shares each will hold.
People with significant control
PSCs are the people who meet the conditions for significant ownership or control. We'll help identify the relevant PSC information for the company.
Before incorporation
Companies House identity verification
Directors and PSCs are subject to Companies House identity-verification requirements. Each director's Companies House personal code and the required information must be available for the incorporation filing.
In most cases, we'll ask individuals to complete verification directly with Companies House before we submit the formation. We can explain the steps needed, including the separate timing that applies to PSCs.

Registered office and service address
We may be able to provide our office address as the company's registered office and/or directors' service address where this has been agreed as part of the engagement.
Use of the address needs our prior agreement and is not automatically included with a formation.
After incorporation
What happens after the company is formed?
Once the company is in place, we can discuss the ongoing accounting and filing support it needs.
This may include annual accounts and Corporation Tax, confirmation statements and other Companies House changes, payroll, bookkeeping and VAT where applicable.
We'll agree any ongoing services separately so you're clear about what is included.
Moving from sole trader to limited company?
For an existing sole trader, forming the company is only one part of the change.
Where incorporation becomes appropriate, we can help with the company formation and the practical accounting and tax transition from sole trader to limited company.
